Constitution of Association
As amended at the AGM on 12.10.05.
1. Name
The Association shall be known as the Culham European School Parents’ Association (hereinafter known as CESPA)
2. Aim
The aims of CESPA are:
2.1. to advance the welfare of the European School
2.2. To represent the educational and family interests of the parents of the pupils at the European School
2.3. To take and encourage any steps which may enable parents to play as great a part as possible in the life of the School in a constructive and European spirit.
2.4. To inform the School authorities of the parents’ wishes and suggestions regarding the aims and content of the teaching and organisation of the School
2.5. To represent the parents on the Administrative Board and the Conseil d’Education
2.6. To help in solving parents’ problems relating to the education of their children
3. Membership
All parents or legal guardians of a pupil attending the School are automatically regarded as members of CESPA and shall be invited to pay a voluntary annual subscription. The annual subscription shall be established at the annual general meeting of CESPA. Friends of the School may, upon application, become members of CESPA at the discretion of the Committee. They may not be elected as officers of CESPA.
One subscription shall cover all members of the same family.
4. Committee
The management of CESPA shall be vested in a Committee. The Committee shall be elected from the members of CESPA at the AGM. It shall consist of up to two members from each language section within the school, one representing the primary and one the secondary division; up to three representatives of parents for whose national language a separate section has not been established; and two representatives for the nursery section.
The Committee shall have the power to co-opt additional members, and in doing so, shall have regard to the widest possible representation of interest in the school.
In the event of any vacancy occurring in the Committee during the interval between AGMs, the Committee may nominate a member to fill the vacancy.
5. Officers
The officers shall be Chairman, Vice-Chairman Primary, Vice Chairman Secondary, Secretary (and Assistant Secretary if required), Treasurer (and Assistant Treasurer if required), who shall be selected at the first Committee meeting after the AGM by a simple majority, by show of hands by the Committee from amongst its members.
At any meeting of the Committee, half the Committee plus one shall constitute a quorum.
In the event of an equality of votes in a Committee meeting, the Chairman shall have the casting vote.
6. Sub-Committees
The Committee shall have the power to appoint other persons and sub-committees for consideration and execution of specific tasks.
7. Administrative Board
Two members of the Committee, elected annually by the Committee, shall represent CESPA on the School’s Adminstrative Board.
CESPA shall be informed at regular intervals about the life of the school through the parents’ representatives on the Administrative Board.
8. Conseil d’Education
Four members of the Committee, normally comprising two primary representatives and two secondary representatives shall represent CESPA on the Conseil d’Education.
9. General Meeting
9.1. An annual general meeting of CESPA shall be held during the first term of the school year:
9.1.1. To discuss and approve the report of the Committee on the activities of CESPA during the past CESPA year, being the school year
9.1.2. To approve the audited financial statements as at the close of CESPA’s financial year
9. 1.3. To elect Committee members
9. 1.4. To elect an auditor for the ensuing financial year
9. 1.5. To deal with any other business
9.2. An extraordinary general meeting may be convened at any time by unanimous decision of the Chair, Secretary and Treasurer; or a majority decision of the Committee; or on the written request of not less than 20 members, and shall be held within 21 days of such a request having been received by the Secretary.
9.3. The Secretary shall give 14 days notice to all members of any general meeting. A notice displayed on the notice-board of the European School shall constitute a formal Notice of Meeting.
9.4. At any general meeting of CESPA, a quorum shall be 30 members of CESPA. In the absence of such a quorum, a further general meeting shall be convened within 21 days, at which 15 members shall constitute a quorum.
9.5. Voting at meetings shall normally be by show of hands. In the event of a tie, the Chairman shall have the casting vote.
9.6. Members of CESPA present shall be entitled to vote at meetings. Decisions shall be by simple majority, except in those concerning changes to this Constitution.
10. Finance and Accounts
The resources of CESPA consist of:
10.1. subscriptions from members
10.2. All other income
10.2. The financial year of the Association shall end on August 31st each year.
10.3. An auditor for accounts and financial records of CESPA shall be appointed at the annual general meeting. Members of the Committee shall not be eligible to serve as auditor.
10.4. The treasurer shall keep an account of all income and expenditure, and shall submit accounts, duly audited, at the GM. The banking account shall be in the name of CESPA on the signature of any two of the following: Chairman, Treasurer, Secretary.
10.5. The funds of CESPA will be applied solely for the development of the stated objects. In the event of the dissolution of CESPA, the remaining funds shall be devoted at the discretion of the Committee to objects similar to those of CESPA.
11. Standing Rules and Regulations
A general meeting of members may draw up rules and regulations to provide or make further provisions for all cases not covered by these articles.
These rules and regulations may not contain any clauses which conflict with this constitution or the law.
12. Amendments to the Constitution of Association
Any proposal for an amendment to this constitution must be submitted to a general meeting after due notice give as in 9(c). To be approved, it must receive at least two-thirds of the votes of the members present, or 100 votes, whichever is the greater.
